CONSTITUTION For Logistics Officer Association Sir Winston S. Churchill Chapter ARTICLE I NAME, AUTHORITY, & PURPOSE Section 1. The name of this organization will be the Logistics Officer Association (LOA), Sir Winston S. Churchill Chapter, and is established pursuant to the provisions of AFI 34-223, and in accordance with all applicable civil and military laws and regulations. Section 2. The purpose of this organization shall be to enhance the military logistics profession. LOA provides an open forum to promote quality logistical support and logistics officer professional development. ARTICLE IIGENERAL PROVISIONS Section 1. The LOA, Sir Winston S. Churchill Chapter is a private organization and operates on RAF Mildenhall only with the written consent of the Commander, 100 Air Refueling Wing. Operation is contingent on compliance with the requirements and conditions of all applicable Air Force instructions. Section 2. This organization will conduct itself in a manner free of racial discrimination and provide equal opportunity and treatment for all members and prospective members regardless of their race, color, religion, gender, disability, age, national origin, or ethnic group. ARTICLE III OFFICERS & GOVERNING BODYSection 1. Administration will be conducted by an Executive Committee, constituted as follows: President Vice President, RAF Mildenhall Vice President, RAF Lakenheath Information Officer Events Officer Treasurer Membership Officer Section 2. Term of office is 12 months. In the event of an officer's resignation, the vacancy will be filled using the following procedures: 1) by temporary appointment by The President when necessary for the transaction of association business or 2) through the same procedures as outlined for the general election of officers. Section 3. Nomination for Association officers will be allowed in September of each year. The President will take nominations for officers during a general membership meeting in September, or by e-mail request during the same month, after making a formal request for nominations. Once all nominations are taken, the President shall declare the nominations closed. The Information Officer will prepare the ballot for general membership voting. Election of all Association officers shall be made by ballot majority vote during the October regular meeting or by e-mail voting. The Information Officer shall tabulate the ballots and announce the results. In the event of a failure to achieve a majority vote for any office on the first ballot, a run-off election will be held between the two nominees having received the most votes on the first ballot. Officers elected shall serve for a period of one year, not to exceed a total of two consecutive terms. All elected officials shall assume office at the next scheduled Executive Committee meeting or regular membership meeting, whichever occurs first. Should an elective position be vacated for any reason, the office shall be filled in accordance with guidance written in Section 2 of these bylaws and the membership shall be duly notified. Section 4. Duties and powers of the board shall be as follows: President – The President shall preside all meetings of the Association and of the Executive Committee, appoint the committee chairpersons immediately after installation, make interim appointments as required with the approval of the Executive Committee, serve as an ex-officer member of all committees except that of the Nominating and Election Committee, and call special meetings when necessary. The President shall be a non-voting member of all committees, except in the case of a tie vote by the other members. Vice President – The Mildenhall/Lakenheath Vice Presidents shall perform the duties of an absent President at their respective bases, and perform such duties as appointed by the President. Information Officer – The Information Officer shall be responsible for all correspondence for the Chapter, keeping meeting minutes and developing a Chapter History. He/she will be the conduit for communication with the national headquarters. Meeting minutes will be available for review by any member, and a courtesy copy of all meeting minutes will be forwarded to 100 SVS. Events Officer – This officer will be responsible to the President for organizing, planning, and obtaining interesting speakers/topics for regular meetings and organizing, planning and coordinating interesting trips for the Chapter. Trips should be planned to observe benchmark candidates. Treasurer – The Treasurer is responsible for oversight of chapter funds. The books of the treasurer will be reviewed at least two (2) weeks prior to termination of office. The results of this review will reflect the new treasurer’s acceptance of said books. A copy of the new Treasurer’s Acceptance Statement will be forwarded to 100 SVS within ten (10) days of transfer to office. Calendar year financial statements (1 January to 31 December of the previous year) will be forwarded to 100 SVS by COB the last working day of February of each year. Cost of all financial reviews/audits is the responsibility of the organization. Membership Officer – The Membership Officer will be responsible for expanding chapter membership. ARTICLE IV MEMBERSHIP Section 1. Every person shall be eligible for membership in LOA who is EITHER:
2. A commander, director, or equivalent who commands, directs, and/or manages professional logistics officers 4. A member of a military-related civilian organization who is the equivalent of a professional logistics officer. Section 2. All chapter members in good standing must be members of the National LOA. ARTICLE V METHOD OF FINANCING Section 1. Dues will be paid by the members of this organization. Section 2. The amount and collection procedures for the annual dues shall be established by the Executive Committee. Section 3. Other income will be obtained from fund-raising events as approved by the Executive Committee and the Commander, 100th Air Refueling Wing. Fundraising efforts will be limited to two per calendar quarter IAW AFI 34-223 and IC 90-1. Section 4. Money collected will be used for operation of the chapter. Section 5. Income will not accrue to individual members of the chapter except through wages or salaries in payment for services rendered. ARTICLE VI MEETINGS & QUORUMS Section 1. General membership meetings will be held as a minimum of once per quarter. The date will be set by the President and the general membership will be notified by e-mail. A quorum shall consist of 10 active members of the Association for either regular or special meetings. Section 2. Executive Committee meetings will be held at the discretion of the President. A quorum shall consist of four Executive Committee members. ARTICLE VII
ADOPTION & AMENDMENTS Section 1. These articles may be amended on the approval of two-thirds vote of the members present at a regular meeting or by ballot at the discretion of the Executive Committee. Section 2: If amended, the constitution will be submitted immediately to 100 SVS, reviewed by Section 3. Conflicts of any provision of the constitution or bylaws with existing military directives will be changed administratively subject to final review by the installation commander, 100th Air Refueling Wing. Section 4. This constitution was approved by a majority vote of the general membership on 1 Dec 05 and is submitted for approval by the Commander, 100th Refueling Wing, RAF ARTICLE VIII DISSOLUTION Section 1. In case of dissolution of the organization, funds in the treasury at the time will be used to satisfy any outstanding debts, liabilities, or obligations. The balance of assets will be disposed of as determined by the membership. However, if upon dissolution, liabilities exceed assets, then the excess of liabilities over assets shall be paid by the membership on a pro rata basis. For the purpose of this article, a member is defined as one whose name is carried on the roll of the active and associate members as of the date of notification; members are clearly identified in Article IV of this constitution. The membership is liable under the laws of the Section 2. Distribution of residual funds and other assets will not accrue to the benefit of any individual member or the membership as a whole. Section 3. In the event that a Nonappropriated Fund Instrumentality (NAFI) fills the need for which this private organization is established, this organization will be dissolved. Under such circumstances, all financial transactions of dissolution will be concluded separately and apart from the operation of any activity established as a NAFI. Section 4. Upon determination to dissolve, written notice by the organization’s officers will be provided to the Commander, 100th Services Squadron. Section 5. The Commander, 100th Air Refueling Wing, has the authority to dissolve this organization in the event that there are no members present or in the best interest of the United States Air Force. ARTICLE IX INSURANCE The Logistics Officer Association will maintain liability and property damage insurance coverage commensurate with risk to protect against any claims or lawsuits which might arise from the commission or omission of acts by its members when acting in any capacity for or in participating in any activities of the organization.
