ARTICLE V: Executive Board and Duties of
Officers
SECTION 1 Executive
Council.

Constitute the governing body and manage the
affairs of the Hill LOA.

Sets the dates for all Executive
Council and general
membership meetings.

Hold regular Executive
Council meetings, as deemed
necessary by the President.

Perform a complete audit of the Treasurers
records no later than 28 February every year.
SECTION 2 Quorum.
A
Quorum for conducting the business of the Executive Council shall not be less than
one-half of the members of the Council empowered to vote.
SECTION 3 Duties of Officers.

President. The President shall preside at all
meetings of the Association and of the Executive Council, appoint committee
chairpersons, make interim appointments as required with the approval of
Executive Council, serve as an ex-officio member of all committees, and call
special meetings. The President shall be a non-voting member of all
committees, except in the case of a tie vote by the other members.

Vice-President. The Vice-President shall perform
the duties of the President during his or her absence, and perform such
duties as assigned by the President.

Treasurer. The Treasurer shall be responsible for
all financial transactions of the Hill LOA, collection of membership dues,
expense account, banking transactions, and monthly financial status
reporting.

Secretary. The Secretary shall be responsible for
all correspondence for the Hill LOA, keeping and publishing meeting
minutes, developing an Association history, creating election ballots, and
act as focal point for Association information. In addition he or she
shall ensure that a web site is maintained with current information. In
the event a Webmaster is available, the Webmaster will assume web page
duties.

contains a matrix of detailed specific duties for members of the Executive
Council.
SECTION 4 Committees. Committees and Committee
chairpersons are appointed as required by the President, with the approval of
the Executive Council. Such committees will be designed to further the purpose of
the Hill LOA, as stated in Article I.
SECTION 5 -- Executive
Council Assistance. For many of the planned activities, the Executive Council
will ask for assistance from the general membership. Instead of a committee, the
Executive Council will work with one or two members to accomplish a certain task
or event. Therefore, a formal committee is not formed, but informal assistance
is provided.
