BYLAWS

OF THE

AIR COMMANDO CHAPTER

LOGISTICS OFFICER ASSOCIATION

HURLBURT FIELD, FLORIDA

  

ARTICLE 1

“The Air Commando Chapter of the Logistics Officer Association is a private organization. Air Commando LOA is not a part of the Department of Defense or any of its components and it has no governmental status.”

 

General

SECTION 1 - Name and Location: The name of this organization shall be the Logistics Officer Association, Air Commando Chapter, Hurlburt Field, Florida, hereinafter referred to as the Air Commando LOA. The principle mailing address of the organization shall be the organization's President. Meetings of members shall be held at such places designated by the President.

SECTION 2 - Purpose: The purpose of the Air Commando LOA is to promote the aims of the United States Air Force mission through dedicated efforts, promoting quality logistical support; to support the image, visibility, and career advancement of the professional logistics officer.

SECTION 3 - Method of Accomplishment:  To accomplish said purpose, the Air Commando LOA shall:

a.  Promote the latent talents of logistics officers.

b.  interface with the logistics populace of Fort Walton Beach and surrounding area to provide an active awareness of current logistics issues.

c.  develop, recommend, and support programs dedicated to improving logistics in the Air Force.

d.  promote the active exchange of ideas within the Air Force, other services, and industry.

e.  provide assistance to senior leadership.

f.  participate in community relations programs, stressing the importance of interaction between local community and the local Air Force communities.


SECTION 4 - Authority:
  The Air Commando LOA shall operate as a Type 2, Private Organization under AFI 34-106 as supplemented, and other pertinent USAF directives.  Any USAF regulations and directives which succeed and/or supersede the above mentioned instruction and other pertinent USAF directives shall be considered applicable to the operation of the Air Commando LOA.

SECTION 5 - Liability:  All members must be informed that financial liability incurred by their private association fund may (unless the fund is incorporated) ultimately result in individual personal financial responsibility, if the fund fails to discharge obligations, even though the fund meanwhile may have been redesigned or dissolved. The National Logistics Officer Association incurs no liability for actions or debts of the Air Commando LOA or its members.

SECTION 6 - Restrictions:  This organization shall be nonprofit, nonpartisan, and nonsectarian.

 

ARTICLE II

MEMBERSHIP

SECTION 1 - Qualifications:  Every person shall be eligible for membership in the Air Commando LOA who is a professional logistics officer or civilian equivalent, including:

a.  all logistics disciplines including aircraft maintenance, supply, transportation, acquisition, contracting, and logistics plans.

b.  active duty with USAF, sister services, Reserve and National Guard members, or retired therefrom.

c.  associated with a logistics related organization.


SECTION 2 - Selection:
  Individuals seeking membership will submit an application to the Air Commando LOA. Perspective members commissioned in a field outside of the logistics arena shall identify so and a logistics duty history submitted. Civilian applicants must indicate relationship with the logistics community. Air Commando LOA Executive Board will review applications and forward membership acceptance directly to the applicant.

SECTION 3 - Types of Membership:

a.  Active Member: those members qualifying and selected under the above will be known as active members with authority to vote and hold office.

b.  Honorary Member: membership conferred upon an individual as a compliment. Such membership confers no rights or privileges.

c.  Associate Member: this type of membership can be extended to corporations, organizations, associations or individuals who do not qualify under the above. Nominations must come from a member in good standing, be reviewed by the Executive Board, and receive a majority vote from members at large. Associate members may serve in an advisory capacity, but may not vote or hold office.


SECTION 4 - Dues:
  Membership dues shall be payable at intervals and rate determined by general membership.

SECTION 5 - Termination:

a.  Any member may resign from the organization by written request to the Executive Board; dues are non-refundable.

b.  Any member shall be expelled for nonpayment of dues after 90 days from the due date.  Membership may be extended through written request to and approved by the Executive Board.

c.  Any member may be expelled by the Executive Board for conduct unbecoming a member or for conduct prejudicial to the aims or repute of the organization.  Notice and opportunity for a hearing are afforded to the member.  In such event, dues are not refundable.

 

ARTICLE III

Officers

SECTION 1 - Composition:

a.  The officers of the organization shall be President, Vice-President, Treasurer, and Secretary.  These officers make up the Executive Board.

b.  Other officers may be established by a majority vote of the general membership.


SECTION 2 - Qualifications:
  The nominees shall be active members in good standing and agree to accept the responsibilities and duties of the office.

SECTION 3 - Term:  All officers shall serve for a term of one year, or until their successor assumes the duties of the office.  Officers will only be allowed to serve two terms in succession.

SECTION 4 - Election of Officers:

a.  All officers are elected by the general membership.

b.  Nominations will be made prior to the October regular membership meeting to the Secretary.  The nominations will be presented to the membership during the October meeting and a final opportunity for nominations from the floor will be provided at that time. The Executive Board will review nominations for eligibility and prepare the ballot. Any individual declining nomination should contact the Executive Board prior to the November regular membership meeting.

c.  Elections of all officers shall be made by secret ballot majority vote during the November regular membership meeting. The Secretary shall tabulate ballots and announce results. If there is not a majority vote for any office on the first ballot , a run-off election will be held between the two nominees receiving the most votes. All elected officials shall assume office at the next Executive Board meeting or regular membership meeting, which ever comes first.


SECTION 5 - Vacancies:
Vacancies occurring among any of the elected officials shall be filled through procedures established above. The President may make temporary appointments of acting officers when necessary for the transaction of Air Commando LOA business and in the absence of the elected officials

 

ARTICLE V

Duty of Officers

SECTION 1 - President:  The President shall preside at all meetings of the Association and of the Executive board, appoint committee chairpersons, make interim appointments as required with the approval of executive board, serve as an ex-officio member of all committees, and call special meetings.  The President shall be a non-voting member of all committees, except in the case of a tie vote by the other members.

SECTION 2 - Vice-President:  The Vice-President shall perform the duties of an absent President and perform such duties as assigned by the President.

SECTION 3 - Treasurer:  The Treasurer shall be responsible for all financial transactions of the Air Commando LOA, collection of membership dues, expense account, banking transactions, and monthly financial status reporting.

SECTION 4 - Secretary:  The Secretary shall be responsible for all correspondence for the Air Commando LOA, keeping and publishing meeting minutes, developing an Association history, creating election ballots, and act as focal point for Association information.

 

ARTICLE VI

Executive Board and Committees

SECTION 1 - General:  The Executive Board and committees are governed by the Air Commando LOA bylaws. Committee chairpersons are appointed by the President. The President may appoint such ad hoc committees and their chairpersons as deemed necessary to carry out the program of the organization. Committee appointments shall be at the will and pleasure of the President, and in no event shall exceed the term of the appointing President, except with the approval of the President-elect.

SECTION 2 - Executive Board:

a.  Consists of the President, Vice-President, Treasurer, and Secretary; the 1 SOMSG/CC, 1 SOMXG/CC, and the HQ AFSOC/LG may serve as advisors to the Executive Board.

b.  Set the dates for all regular meetings, and approve the Presidential recommendations for special meetings.

c.  Constitute the governing body and manage the affairs of the Air Commando LOA and perform other duties as required.

d.  Hold regular meetings at least once a quarter.

e.  Have a quorum, consisting of two-thirds of Executive Board before business is transacted.

f.  Review membership nominees for qualification and approve or disapprove on the Air Commando LOA Memberships.

 

ARTICLE VII

Meetings

SECTION 1 - Regular Meetings:  Regular meetings of the Air Commando LOA shall be held a minimum of once a quarter. The date will be set by the President, with due notice to be given to the membership.

SECTION 2 - Special meetings:  Special meetings of the Air Commando LOA may be called by the President, with consent of the Executive Board, at any time such a meeting becomes necessary.  Due notice shall be given to the membership.

 

ARTICLE VIII

Quorum

A quorum shall consist of one-third of the total active membership of the Air Commando LOA for either regular or special meetings.

 

ARTICLE IX

Amendments

These bylaws may be amended at any regular meeting of the association by a two-thirds vote of the members present or by ballot at the discretion of the Executive Board.  Copies of proposed amendments shall be given to members in writing at least 30 days prior to the meetings/ballot.  Any proposed amendments shall be submitted to the Executive Board by petition.  If a ballot system is used, approval by two-thirds of respondents will be required for the passage of the amendment(s).

 

ARTICLE X

Rules

Robert's Rules of Order shall govern all meetings of this Air Commando LOA where procedure is not otherwise provided herein.
